The companies have a combined debt of $60 billion, compared to a market value of $81 billion, and face the prospect of slower subscriber growth as the mobile market reaches saturation. Sprint and T-Mobile will assert that 5G development, which is critical for the U.S. economy to keep up with other countries, will be move at a faster clip if the two companies band together. Sprint's value fell by 20% after investors questioned how the company would be able to compete with larger rivals, especially while groaning under the weight of its $32 billion in long-term debt. The company picked up subscribers mostly by discounting service prices, while T-Mobile managed to gain subscribers with better network performance, solid customer service and innovative products.
Back in 2011, AT&T also tried to buy T-Mobile but walked away after encountering opposition from the Obama administration's Justice Department and Federal Communications Commission.
